These Terms and Conditions ("Terms") govern your use of the GAds Pro Lab website (gadsprolab.com) and the engagement of our marketing services. By accessing this website or engaging us, you agree to be bound by these Terms. If you do not agree, please do not use this website or engage our services.
GAds Pro Lab ("we", "our", "us") is a freelance-led digital marketing agency network operating from India. We provide Google Ads strategy, campaign design, landing page design, conversion tracking, performance marketing and related services through a network of vetted independent specialists.
Our services are described on the Services and Pricing pages. The specific scope, deliverables, timelines and price for any engagement are documented in a written proposal or agreement signed between us and the client. The signed proposal — together with these Terms — forms the binding contract between us.
Digital advertising performance depends on many factors outside our exclusive control — auction dynamics, competitor activity, seasonality, market conditions, your offer, your website's conversion ability, sales-team responsiveness, and platform algorithm changes. We do not guarantee specific results, rankings, lead volumes, ROAS, conversions or revenue outcomes. Any forecasts, projections or expected ranges shared by us are estimates based on professional judgement, not commitments.
Both parties will treat non-public information shared during the engagement as confidential and use it only to perform or receive the services. The specialists in our network operate under confidentiality obligations.
Fees, payment milestones, advance amounts and acceptable payment methods are set out in your written proposal. All fees are exclusive of applicable taxes (including GST), which will be charged at the rate prevailing on the date of invoice. Ad spend is paid by you directly to Google or other ad platforms and is not part of our fees.

GAds Pro Lab also operates as a verified service provider on freelance platforms including Upwork, Fiverr, and Freelancer.com. Where a client books and pays for our services through one of these platforms, the engagement is governed by that platform's terms of service. In particular:
To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or in connection with an engagement will not exceed the fees paid by the client for that engagement in the three (3) months immediately preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of revenue, profits, leads, goodwill or business opportunity.
You agree to indemnify and hold us harmless against any claims, damages, losses or costs arising from (i) content, claims, offers or assets you supply to us, (ii) your breach of these Terms or the engagement agreement, or (iii) your violation of applicable laws.
Neither party will be liable for delays or failures resulting from causes beyond their reasonable control, including acts of God, government action, internet or power outages, platform-level outages, pandemics, civil unrest, or other comparable events.
These Terms and any engagement governed by them will be construed in accordance with the laws of India. The courts of India will have exclusive jurisdiction over any disputes arising out of these Terms.
We may update these Terms from time to time. The latest version will always be available on this page with a revised "Last updated" date. Continued use of the website or engagement after changes are posted constitutes acceptance.
